Terms of Service

1. Acceptance

By signing up for or using LoadGrade ("the Service"), you agree to these Terms. If you don't agree, don't use the Service.

2. The Service

LoadGrade is decision-support software for liquidation operators. We grade manifests, calculate suggested max bids, and route items to recommended channels. The Service is decision support, not financial advice. All bidding, purchasing, and selling decisions are yours.

3. Account

You're responsible for keeping your account credentials secure and for all activity under your account. One person per Solo account; up to 10 per Team account.

4. Billing

Subscriptions are billed monthly via Stripe after a 14-day free trial. You may cancel at any time from your billing portal. Cancellations take effect at the end of the current billing period. No refunds for partial periods.

5. Acceptable use

You agree not to:

• Use the Service for illegal purposes
• Reverse-engineer the engine to clone the product
• Resell access to the Service without written permission
• Upload manifests containing data you don't have the right to use
• Interfere with other customers' use of the Service

6. Data ownership

You own your manifest data. We don't share your data with other customers. Aggregate / anonymized data may inform engine improvements; we'll ask for opt-in before doing that.

7. Service availability

We aim for high uptime but don't guarantee it. The Service is provided "as is." We're not liable for losses arising from Service unavailability, engine errors, or bidding outcomes.

8. Limitation of liability

To the maximum extent allowed by law, our total liability for any claim is limited to the amount you paid us in the 12 months before the claim.

9. Changes

We may update these Terms. We'll notify you of material changes via email. Continued use after notice = acceptance.
